A founder approves payments through a personal device. A vendor stores data outside the stated region under a temporary waiver. Each exception may have been rational locally. The buyer acquires the whole accumulation at once.

Exceptions are deferred decisions

They represent a rule the target could not or would not follow, plus a workaround whose consequence may be poorly understood. During diligence they appear as isolated findings. After close they interact with the buyer’s controls, insurance, regulatory duties and integration schedule.

Price the burden, not the count

Ten minor exceptions may be manageable. One exception connecting identity recovery to a departing founder may threaten continuity. Classify each by consequence, dependency, duration, evidence and removal difficulty.

Ask what happens if the workaround is withdrawn on day one. If revenue, access or customer delivery stops, the exception is an operating dependency and belongs in valuation and transition planning.

Build the exception debt schedule

- Rule or standard displaced.

- Reason the exception exists.

- Asset, customer or revenue dependent on it.

- Person or vendor who understands the workaround.

- Maximum consequence and detection capability.

- Cost, sequence and deadline for retirement.

Use the schedule to set deal mechanisms and integration priorities. Preserve necessary exceptions deliberately for a bounded period; do not accidentally destroy them before the replacement exists.

The acquisition question

Ask management: “Which rule, relationship or unsupported component would you be afraid for us to change in the first thirty days?” The answer often identifies more value risk than a standard questionnaire.

A buyer does not inherit the target’s policy. It inherits the target’s exceptions to policy.
